Terms of Service

1. Acceptance

By creating an account or using any Charenix Studio service, you agree to these terms. If you don't agree, don't use the service.

2. The service

We provide AI services including but not limited to LLM domain experts (Frankenstein), personal AI agents (Alfred), office secretary AI (Metis), creative pipelines (Heimdallr), visualization (Atlas), CRM analytics (CRM Insight), and on-device mobile apps. Each service has its own feature set described on its detail page.

3. Your account

• You must be 16 or older to create an account.
• You're responsible for keeping your credentials secure. Notify us immediately at norika@charenix.com if you suspect unauthorized access.
• One person per account. Don't share credentials.
• For business accounts: the human creating the account warrants they have authority to bind the organization to these terms.

4. Acceptable use

You may not use our services to:

• Generate content that violates applicable law (defamation, illegal content, intellectual property infringement, etc.)
• Generate spam, mass-unsolicited communication, or content for fraud
• Attempt to identify, contact, or impersonate other users
• Reverse-engineer our internal infrastructure beyond what's documented as open
• Resell access to third parties without a written reseller agreement
• Use the service to train competing AI models (without explicit written consent)
• Submit content that violates the rights of third parties

We may suspend or terminate accounts that violate these rules. We'll notify you first when possible.

5. Billing

• Subscriptions are billed monthly in advance via Stripe.
• The 7-day free trial requires a card on file but no charge until day 8.
• You can cancel at any time from your portal. Cancellation takes effect at the end of the current billing period; no pro-rated refunds except as described in Section 6.
• If a payment fails, we'll retry 3 times over 7 days. Continued failure triggers the graceful degradation timeline.
• Prices in USD. Local taxes (Taiwan VAT 5%, EU VAT, etc.) added at checkout where applicable.

6. Refund policy

Within 14 days of your first paid charge on any service, you may request a full refund, no questions asked. After 14 days, refunds at our discretion based on the issue. Email norika@charenix.com with subject "Refund".

7. Service availability

We target 99% uptime on paid tiers but make no formal SLA on Basic / Pro / Org tiers. Enterprise tier customers receive a written SLA with credit terms.

8. Your data and content

You retain all ownership of data and content you upload. You grant us a limited license to process it solely to deliver the service to you (run inference, build your RAG index, run benchmarks, etc.). We do not train on your data unless explicitly contracted. Our data handling is described in the privacy policy.

9. Our content

The software code we make public (e.g. on GitHub) is licensed under the terms in each repository. The website, copy, and visual identity are © 2026 Charenix Studio. Research papers are published under CC BY 4.0 on Zenodo.

10. Open-source components

Our services build on open-source projects including llama.cpp, mergekit, HuggingFace transformers, and others. Each is used under its own license. We comply with their respective requirements and attribute appropriately.

11. AI output disclaimers

Our services use generative AI. Output may be:

• Inaccurate. Always verify factual claims, especially for medical, legal, or financial decisions.
• Biased. AI reflects biases in training data. We work to mitigate but cannot eliminate.
• Inconsistent. The same prompt may produce different outputs at different times.

You are responsible for how you use AI output. Do not rely on it as the sole basis for high-stakes decisions.

12. Limitation of liability

To the maximum extent permitted by law, Charenix Studio is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the service. Total liability for any claim is limited to fees paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising from (a) your violation of these terms, (b) your misuse of the service, or (c) content you uploaded that infringes third-party rights.

14. Termination

Either party may terminate at any time. If you terminate, the graceful degradation timeline in our pricing page applies. If we terminate for cause (violation of these terms), service ends immediately and no refund is owed.

15. Changes to these terms

We may update these terms. Material changes will be announced 30 days in advance via email. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These terms are governed by the law of the Republic of China (Taiwan). Disputes go to the Taipei District Court as the court of first instance, unless we mutually agree to mediation.
